1. Welcome to Bookhuddle!

    Bookhuddle, LLC ("Bookhuddle", "Company", "us", "we") offers an online community and book reference utility for book readers, authors, and others to help them discover, organize, and share book information through our website located at www.bookhuddle.com (the "Site").

    These Terms & Conditions of Service ("Terms of Service", "Agreement") for Bookhuddle services ("Services", "Products") governs your access to and use of the Web site of Bookhuddle, located at www.bookhuddle.com, including any content, information, products, or Services therein. This is a legal agreement between you and Bookhuddle and applies to you whether you are a registered user of the Site ("Member") or a non-registered user (collectively "Bookhuddle User"). By using or accepting the Services, you agree to be bound by the terms of this Agreement. If you do not agree to the Terms of this Agreement, you may not access or use the Site or Services. You agree that your use of the services acknowledges that you have read this Agreement, understand it, and agree to be bound by its Terms and Conditions.

  2. Modification of Site or Terms of Service

    Bookhuddle reserves the right, in its sole discretion, at any time to modify, discontinue or terminate the Site and Services, or modify these Terms of Service without notice. All modified terms and conditions will be effective after they are posted on the Site (unless a longer notice period is required by applicable law). If any modified terms and conditions are not acceptable to you, your sole remedy is to cease using the Site and Services, and if applicable, cancel your Account (defined below). By continuing to access or use the Site and Services after Bookhuddle makes any such modification, you agree to be bound by the revised Terms of Service.

  3. Term

    Bookhuddle is presently a free service, any eligible person can create a user account, and continue to use this Service as long this Agreement is adhered to.

  4. Eligibility and Registration

    To become a Member you must be at least 13 years old. In order to access certain features of the Site and Services, and to post User Submissions (defined below), you will have to become a Member and set up a Bookhuddle account ("Account"), with a corresponding email address and password. Your email address and password will permit you to access certain secure areas of the Site only available to Members. We encourage you to check out our Privacy Policy for information about our policies and procedures regarding the collection, use and disclosure of personal information we receive from Members.

    If you become a Member, you will agree to provide true, accurate and complete registration information ("Account Data") and to maintain as current and promptly update relevant personal information provided to Bookhuddle. You agree not to use false identities nor impersonate any other person, nor use a name that you are not authorized to use. You are responsible for safeguarding and maintaining the confidentiality of your password and corresponding Account information. You agree not to disclose your password to anyone. You agree that you are entirely and solely responsible for any and all activities or actions that occur under your Account, whether or not you have authorized such activities or actions. You agree to immediately notify Bookhuddle of any unauthorized use of your account or any security breach. You agree to accept all risks of unauthorized access to the Account Data and any other information you provide to Bookhuddle.

  5. Content

    Certain types of content are made available through the Site. "Site Content" as used in these Terms of Service means, collectively, the text, data, graphics, images, photos, or other content made available through the Site, excluding User Submissions. Some of the Site Content is comes from Amazon.com Web Services. "User Submissions" as used in these Terms of Service means, collectively, the text, data, graphics, images, photos and other content and information which Members post, upload and otherwise submit to the Site, including without limitation in Member-created profile pages. "Content" refers to the Site Content and User Submissions. BOOKHUDDLE RESERVES THE RIGHT TO REMOVE AND PERMANENTLY DELETE ANY SITE CONTENT OR USER SUBMISSIONS FROM THE SITE WITHOUT NOTICE.

  6. Compliance With Law; User and Member Conduct

    The Site and Services may be used and accessed for lawful and non-commercial purposes only. The Site is controlled and operated by Bookhuddle from its offices within the United States. Bookhuddle makes no representation that the Site Content, User Submissions or the Services are appropriate or available for use in other locations. If you choose to access this Site from other locations, you agree to abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Site and Services. In addition, without limitation, you agree that you will not do any of the following while using or accessing the Site or Services:

    • Tamper, disable, circumvent, or otherwise interfere with security related features of the Site or features that prevent or restrict use or copying of any Site Content;
    • You agree not to post, upload to, transmit, distribute, store, create or otherwise publish through the Site any of the following:
      • Any User Submission to which you do not have the lawful right to copy, transmit and display (including any User Submission that would violate any confidentiality or fiduciary obligations that you might have with respect to the User Submission);
      • Any User Submission that infringes the intellectual property rights or violates the privacy rights of any third party (including without limitation copyright, trademark, patent, trade secret, or other intellectual property right, or moral right or right of publicity); or
      • Any User Submission for which you do not have the consent or permission of each identifiable person in the User Submission to use the name, voice, signature, personally identifiable information, photograph, or likeness of each such person (to the extent each is implicated by the User Submission) whenever such consent or permission is necessary;
      • Any unsolicited or unauthorized advertising, promotional materials, political campaigning, junk mail, spam, chain letters, or any other form of solicitation;
      • Any User Submissions that are unlawful, obscene, harmful, threatening, harassing, defamatory or hateful or that contain objects or symbols of hate, invade the privacy of any third party, contain nudity (including without limitation any pornography, erotica, child pornography or child erotica), are deceptive, threatening, abusive, inciting of unlawful action, defamatory, libelous, vulgar or violent or constitute hate speech or are otherwise objectionable in the opinion of Bookhuddle;
      • Any User Submissions that contain software viruses or any other computer code, files, or programs designed to (i) interrupt, destroy or limit the functionality of any computer software; or (ii) interfere with the access of any Site User, host or network, including without limitation sending a virus, overloading, flooding, spamming or mail-bombing the Site;
      • Any User Submissions that include code that is hidden or otherwise surreptitiously contained within the images, audio or video of any User Submissions that is unrelated to the immediate, aesthetic nature of the User Submissions;
      • Any Use Submissions that, in the sole judgment of Bookhuddle, are objectionable or which restricts or inhibits any other person from using or enjoying the Site, or which may expose Bookhuddle or its users to any harm or liability of any type.
    • Use any meta tags or other hidden text or metadata utilizing a Bookhuddle name, trademark, URL or product name;
    • Forge any TCP/IP packet header or any part of the header information in any posting or in any way use the Site or Services to send altered, deceptive or false source-identifying information;
    • Interfere with or disrupt (or attempt to interfere with or disrupt) any web pages available at the Site, servers or networks connected to the Site or the technical delivery systems of Bookhuddle's providers or disobey any requirements, procedures, policies or regulations of networks connected to the Site;
    • Attempt to probe, scan or test the vulnerability of any Bookhuddle system or network or breach or impair or circumvent any security or authentication measures protecting the Site or Services;
    • Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site or Services;
    • Attempt to access, search or meta-search the Site with any engine, software, tool, agent, device or mechanism other than software and/or search agents provided by Bookhuddle or other generally available third party web browsers (such as Microsoft Internet Explorer, Mozilla Firefox, Safari, or Opera), including without limitation any software that sends queries to the Site to determine how a website or web page ranks.
    • Collect or store personal data about other BookHuddle Users without their express permission;
    • Impersonate or misrepresent your affiliation with any person or entity, through pretexting or some other form of social engineering or otherwise commit fraud;
    • Use the Site or Services in any manner not permitted by this Agreement; or
    • Encourage or instruct any other individual to do any of the foregoing or to violate any term of these Terms of Service.

  7. Disclaimer of Liability

    Bookhuddle takes no responsibility and assumes no liability for any Content posted, stored or uploaded by you or by any third party, or for any loss or damage thereto, nor is Bookhuddle liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. Your use of Site and/or Services is at your own risk. As a provider of interactive services, Bookhuddle is not liable for any statements, representations or User Submissions provided by its users in any public forum, personal home page or other areas of the Site. Although Bookhuddle has no obligation to screen, edit or monitor any User Submissions, Bookhuddle reserves the right, and has absolute discretion, to remove, screen or edit any User Submissions posted or stored on the Site at any time and for any reason without notice, and you are solely responsible for creating backup copies of and replacing any User Submissions you post or store on the Site at your sole cost and expense. Any use of the Site in violation of the foregoing violates these Terms of Service and may result in, among other things, termination or suspension of your rights to use the Site.

  8. License User Submissions

    If you post User Submissions to the Site, unless we indicate otherwise, you grant Bookhuddle and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such User Submissions throughout the world in any media. You grant Bookhuddle and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that (a) you own and control all of the rights to the User Submissions that you post or you otherwise have the right to post such User Submissions to the Site; and (b) use and posting of the User Submissions you supply does not violate these Agreement.

  9. Privacy Policy

    Bookhuddle believes in protecting user privacy and encourages you to review our Privacy Policy for information on how personally identifiable information from its users is collected, used and disclosed.

  10. Copyright

    Unless otherwise indicated, the Site Content, User Submissions and all other materials on the Site, including without limitation the Bookhuddle logo, and all designs, logos, graphics, text, information, data, software, pictures, the selection and arrangement thereof (collectively, the "Materials") are the proprietary property of Bookhuddle or its licensors or users and are protected by U.S. and international copyright laws.

  11. License From Bookhuddle

    Bookhuddle gives you a personal, worldwide, royalty-free, non-assignable, and non-exclusive license to use the Site and Services as part of the Services as provided hereon for your personal, informational, and non-commercial use only. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Bookhuddle, in the manner permitted by this Agreement.

    This license is subject to this Agreement and excludes: (a) allowing other individuals to use the Site or Content; (b) copying or redistribution, public display or public performance of any Content; (c) any commercial use of the Site or the Content; (d) modifying or otherwise creating any derivative uses of the Site or the Content, or any portion thereof; (e) any use of the Site or the Content other than for its intended purpose; (f) use of any screen scraping, data mining, or other similar methods to extract data.

    Unless Bookhuddle has given you specific written permission to do so, you may not assign or sublicense your rights to use the Site or Services, grant a security interest in or over your rights to use the Site or Services, or otherwise transfer any part of your rights to use the Site or Services.

  12. Copyright Notice

    If you believe that any material on the Site infringes upon any copyright which you own or control, or that any link on the Site directs users to another Web site that contains material that infringes upon any copyright which you own or control, you may file a notification of such infringement at our feedback page.

    We may give notice of a claim of copyright infringement to our users by means of a general notice on the Site, electronic mail to a user's email address in our records, or by written communication sent by first-class mail to a user's address in our records.

  13. Termination & Cancellation

    Bookhuddle may immediately terminate or suspend your access to the Site and Services and remove any material (including User Submissions) from the Site or our servers, in the event that you breach this Agreement. Notwithstanding the foregoing, Bookhuddle also reserves the right to terminate the Site, Services or your access thereto at any time and for any reason. After such a termination, you understand and acknowledge that we will have no further obligation to provide the Services. Upon termination, all licenses and other rights granted to you by these Terms of Service will immediately cease. Bookhuddle is not liable to you or any third party for termination of the Services or termination of your use of the Services. UPON ANY TERMINATION OR SUSPENSION, ANY INFORMATION (INCLUDING USER SUBMISSIONS) THAT YOU HAVE SUBMITTED ON THE SITE OR THAT WHICH IS RELATED TO YOUR ACCOUNT MAY NO LONGER BE ACCESSED BY YOU. Furthermore, Bookhuddle will have no obligation to maintain any information stored in our database related to your Account or to forward any information to you or any third party.

    Any suspension, termination or cancellation will not affect your obligations to Bookhuddle under this Agreement (including but not limited to ownership, indemnification and limitation of liability), which by their sense and context are intended to survive such suspension, termination or cancellation.

  14. Trademarks

    Bookhuddle, Bookhuddle.com, the Bookhuddle logo and any other product or service name contained in the Site are trademarks of Bookhuddle or of their respective owners, that have granted Bookhuddle the right and license to use such marks, and may not be used, imitated, or copied, in part or in whole, without the prior written permission of Bookhuddle or the applicable trademark holder.

    The Site visual appearance ("Look and Feel") of the Service, including all custom images, icons, graphics, scripts, is the service mark, trade dress, and/or trademark of Bookhuddle and may not be copied, imitated or used, in whole or in part, without the express permission of Bookhuddle. All other trademarks, registered trademarks, product names and Bookhuddle names or logos mentioned in the Site are the property of their respective owners.

    Reference to any products, services, processes or other information, by trade name, trademark, manufacturer, and supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by Bookhuddle.

  15. Links to Bookhuddle.com

    You are granted a limited, non-exclusive right to create a text hyperlink to the Site for noncommercial purposes, provided that (i) any link to the Site must be a text only link clearly marked "www.Bookhuddle.com," (ii) the appearance, position and other aspects of the link must not, in our opinion, damage or dilute the goodwill associated with Bookhuddle's names and trademarks, (iii) the link must "point" to the URL http://www.Bookhuddle.com and not to other pages within the Site, (iv) the appearance, position and other attributes of the link may not create the false appearance that your organization or entity is sponsored by, affiliated with, or endorsed by Bookhuddle, (v) when selected by a user, the link must display the Site on a full-screen and not within a "frame" on the linking Web site, and (vi) Bookhuddle reserves the right to revoke its consent to the link at any time and in its sole discretion. You may not use a Bookhuddle logo or other proprietary graphic of Bookhuddle to link to this Site without the express written permission of Bookhuddle.

    The Site may provide links to third party websites or resources from the Site. You acknowledge and agree that Bookhuddle is not responsible or liable for the availability or accuracy of, and Bookhuddle does not endorse, such websites or resources or the content, products, or services on or available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

    Transactions that occur between you and such third-party sites are strictly between you and the third party and are not the responsibility of Bookhuddle. Because Bookhuddle is not responsible for the availability or accuracy of these outside resources or their contents, you should review the terms and conditions and privacy policies of these linked sites, as their policies may differ from ours.

  17. Communications From Bookhuddle

    By default, we may send you periodic updates of various site information including new books, recommendations, site announcements, etc. You have full control regarding which of these E-mails you want to receive. To change your options, simply click "My Account" at the top right corner of any page. However, even if users do not select the option, Bookhuddle reserves the right to send communications that we believe will be relevant and of interest to users.

  18. Indemnification

    You agree to defend, indemnify, and hold Bookhuddle, its officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with (i) your access to or use of the Site, Services, Site Content and User Submissions; (ii) your violation of these Terms of Service; or (iii) any claim that your User Submissions caused damage to any third party or violated any third party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right.

  19. Disclaimer of Warranties

    YOUR USE OF THE SITE, SERVICES, SITE CONTENT AND USER SUBMISSIONS IS AT YOUR SOLE DISCRETION AND RISK. THE SITE, SERVICES, SITE CONTENT AND USER SUBMISSIONS, AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED THEREIN, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. BOOKHUDDLE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, RELATING TO THE SITE, SERVICES, SITE CONTENT AND USER SUBMISSIONS, INCLUDING WITHOUT LIMITATION THE WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OF PROPRIETARY RIGHTS, COURSE OF DEALING OR COURSE OF PERFORMANCE. BOOKHUDDLE DISCLAIMS ANY WARRANTIES: (I) REGARDING THE SECURITY, ACCURACY, RELIABILITY, TIMELINESS AND PERFORMANCE OF THE SITE; OR (II) THAT THE SITE, SERVICES, SITE CONTENT OR USER SUBMISSIONS WILL BE ERROR-FREE OR THAT ANY ERRORS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BOOKHUDDLE, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

  20. Limitation of Liability

    IN NO EVENT WILL BOOKHUDDLE, ITS OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, SERVICES, CONTENT OR USER SUBMISSIONS, WHETHER OR NOT THE DAMAGES ARE FORESEEABLE AND WHETHER OR NOT BOOKHUDDLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF BOOKHUDDLE, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF THE SITE EXCEED ANY COMPENSATION YOU PAY, IF ANY, TO BOOKHUDDLE FOR ACCESS TO OR USE OF THE SITE.

  21. Applicable Law and Venue

    This Agreement and your use of the Site shall be governed by and construed in accordance with the laws of the State of Maryland, applicable to agreements made and to be entirely performed within the State of Maryland, without resort to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to this Agreement shall be filed only in the state and federal courts located in or for Rockville, Maryland and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of these Agreement.

  22. Severability

    If any provision of these Terms of Service shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms of Service and shall not affect the validity and enforceability of any remaining provisions.

  23. Local Laws; Export Control

    Bookhuddle controls and operates the Site from its headquarters in the United States and makes no representation that the Site Content is appropriate or available for use in other locations. If you use Bookhuddle from other locations, you are responsible for compliance with applicable local laws, including, but not limited to, export and import regulations of other countries. Unless otherwise explicitly stated, all marketing or promotional materials found on the Site are solely directed to individuals, companies, or other entities located in the United States.
